By accessing or using Menu Studio (“Service”, “Platform”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your use of the Service is also governed by our Privacy Policy.

2. Description of Service

Menu Studio is a software-as-a-service platform that enables restaurants and food service businesses to:

  • Create, design, and manage digital and print menus
  • Manage menu items and inventory
  • Publish menus online via subdomains or custom domains
  • Embed menus on websites via iframe
  • Export menus in various formats (PDF, PNG, etc.)
  • Access analytics and reporting features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Responsibilities

You are responsible for:

  • All content uploaded, created, or shared through your account
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, including those by team members you invite
  • Ensuring your team members comply with these Terms

4. Content and Intellectual Property

4.1 Your Content

You retain all ownership rights to content you create, upload, or provide through the Service (“Your Content”), including but not limited to:

  • Menu designs and layouts
  • Menu items, descriptions, and pricing
  • Images, logos, and branding materials
  • Restaurant information and data

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Service.

4.2 Our Content

The Service, including its original content, features, functionality, templates, and design, is owned by Menu Studio and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

4.3 Templates

Menu templates provided by Menu Studio are licensed for use within the Service. You may customize templates for your menus, but you may not redistribute, resell, or claim ownership of template designs.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Upload or transmit viruses, malware, or any other harmful code
  • Spam, harass, or abuse other users
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or unauthorized purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users
  • Use automated systems to access the Service without permission

6. Subscriptions and Payments

6.1 Subscription Plans

Menu Studio offers various subscription plans with different features and limitations. Subscription fees are billed in advance on a monthly or annual basis, as selected during registration.

6.2 Payment Terms

By subscribing to a paid plan, you agree to:

  • Pay all fees associated with your subscription
  • Provide accurate payment information
  • Authorize us to charge your payment method for recurring fees
  • Pay any applicable taxes

6.3 Refunds

Subscription fees are generally non-refundable. We may, at our discretion, provide refunds or credits in exceptional circumstances. Refund requests must be submitted within 30 days of the charge.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

We reserve the right to suspend or terminate your account for non-payment or violation of these Terms.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the security of your account and data.

8. Third-Party Services

The Service may integrate with or link to third-party services, including payment processors, domain registrars, and other tools. Your use of third-party services is subject to their respective terms and conditions.

We are not responsible for the availability, accuracy, or practices of third-party services. Integration with third-party services is provided “as-is” without warranty.

9. Custom Domains

If you use a custom domain with the Service, you are responsible for:

  • Maintaining ownership and control of the domain
  • Configuring DNS settings as required
  • Ensuring the domain complies with applicable laws
  • Any content or activities associated with your custom domain

We reserve the right to suspend or remove custom domain functionality if the domain is used in violation of these Terms.

10. Disclaimers and Limitation of Liability

10.1 Service Availability

The Service is provided “as-is” and “as-available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

10.2 Limitation of Liability

To the maximum extent permitted by law, Menu Studio and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Any damages resulting from your use or inability to use the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Menu Studio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of custom domains or third-party integrations

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and data, subject to our data retention policies
  • You remain responsible for all fees incurred prior to termination
  • Provisions that by their nature should survive termination will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the “Last updated” date
  • Sending an email notification to registered users (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
